Terms of sale

Article 1 — Purpose and scope

These general terms and conditions of sale govern all product sales concluded on varennecouture.com between SOMMET CORP, a French simplified joint-stock company (SAS) with share capital of €100, whose registered office is at 47 rue Vivienne, 75002 Paris, France, registered with the Paris Trade and Companies Register under number 109 058 172 (hereinafter “Varenne”), and any non-business individual making a purchase (hereinafter the “Customer”).

Placing an order implies unconditional acceptance of these terms, which the Customer acknowledges having read before confirming the order. Varenne may amend them; the version applicable is the one in force on the date of the order.

Article 2 — Products

The products offered are those displayed on the website when it is consulted, subject to availability. Each product page describes its essential characteristics.

Leather is a natural material. Variations in grain, colour, veining and patina are inherent to it and do not constitute defects. Photographs are intended to be as accurate as possible but are not absolutely contractual, as colours may vary according to the Customer’s screen settings.

If a product becomes unavailable after an order has been placed, Varenne will inform the Customer as soon as possible and refund the amount paid for that product.

Article 3 — Prices

Prices are shown in euros, including applicable taxes, excluding delivery charges. Applicable delivery charges are displayed before final order confirmation and repeated in the order summary.

Varenne may change prices at any time; products are nevertheless invoiced at the rates in force when the order is recorded.

For deliveries outside the European Union, customs duties, taxes or clearance fees may be charged on arrival by the destination country’s authorities. These amounts are the Customer’s sole responsibility.

Article 4 — Orders

The Customer selects products, checks the basket, provides contact and delivery details, chooses delivery and payment methods, then confirms the order.

Before final confirmation, the Customer may check the order details and correct any errors. Confirming the order by clicking the payment button labelled “order with obligation to pay” or equivalent constitutes acceptance of the price and these terms.

The sale is concluded only when Varenne sends an order confirmation by email. Varenne may refuse or cancel an order that appears abnormal, is suspected of fraud, relates to a previous payment dispute or is clearly intended for resale.

Article 5 — Payment

Payment is made online in full on the date of the order. Accepted methods are bank cards through Shopify Payments (Visa, Mastercard and American Express), PayPal and Klarna.

Transactions are secured by payment service providers. Varenne never has access to or stores the Customer’s complete bank details.

An order is processed only after payment has been received. If authorisation is refused by the financial institution, the order is automatically cancelled.

Products remain Varenne’s property until the price has been paid in full under the retention-of-title clause. Risk transfers when the goods are physically handed to the Customer.

Article 6 — Delivery

Delivery methods, areas, estimated times and charges are set out in our shipping policy, which forms an integral part of these terms.

In accordance with Article L.216-1 of the French Consumer Code, Varenne undertakes to deliver no later than 30 days after the contract is concluded. If it fails to do so, the Customer may, after formally requesting delivery within a reasonable additional period, terminate the contract and obtain a refund of the sums paid.

The Customer must check the parcel on receipt and report any anomaly to the carrier and Varenne as soon as possible.

Article 7 — Withdrawal, returns and refunds

The Customer has 14 days from receipt of the order to exercise the right of withdrawal under the conditions set out in our refund policy, which forms an integral part of these terms and includes the model withdrawal form.

Under Article L.221-28(3) of the French Consumer Code, this right does not apply to goods made to the Customer’s specifications or clearly personalised.

Article 8 — Statutory guarantees

All products benefit automatically and at no additional cost from the following statutory guarantees, independently of any commercial guarantee:

Statutory guarantee of conformity (Articles L.217-3 et seq. of the French Consumer Code) — the Customer has two years from delivery to make a claim. The Customer may choose repair or replacement, subject to the cost conditions provided by law, and need not prove that the lack of conformity existed during the 24 months following delivery.

Guarantee against hidden defects (Articles 1641 et seq. of the French Civil Code) — the Customer may bring a claim within two years of discovering the defect and choose between cancellation of the sale and a reduction in price.

To exercise these rights, contact Varenne at maisonvarenne.contact@gmail.com. Normal wear and damage caused by improper care, abnormal use or alteration of the product are not covered.

Article 9 — Force majeure

Varenne is not liable for failure to perform its obligations due to force majeure within the meaning of Article 1218 of the French Civil Code, including natural disaster, fire, strike, transport blockade, epidemic or widespread network failure.

Article 10 — Personal data

Data collected in connection with an order is processed in accordance with our privacy policy.

Article 11 — Complaints, mediation and disputes

Complaints should first be sent to maisonvarenne.contact@gmail.com with the order number.

Under Article L.612-1 of the French Consumer Code, after first attempting to resolve the matter directly with Varenne, the Customer may use a consumer mediator free of charge to seek an amicable settlement. The mediator’s details appear in our legal notice.

A Customer residing in the European Union may also use any applicable European online dispute-resolution service.

Article 12 — Governing law

These terms are governed by French law. Mandatory consumer protections applicable in the Customer’s country of habitual residence remain applicable where required. If no amicable solution is reached, disputes will be brought before the competent courts under ordinary jurisdiction rules.

Article 13 — Severability

If any provision of these terms is declared void or unenforceable, the remaining provisions remain in full force and effect.
